Terms of Policy

Welcome to BioNeura. By accessing or using our website at https://bioneura.co.za (the “Website”) and/or purchasing products from us, you agree to be bound by these Terms & Conditions (“Terms”). These Terms constitute a legally binding agreement between you (“you”, “your”, “Customer”) and BioNeura (“we”, “us”, “our”). If you do not agree with all the Terms, you must not use the Website or purchase products.
We reserve the right to modify these Terms at any time, and will post the updated Terms on the Website. Your continued use of the Website or purchase of products after such changes constitutes your acceptance of the updated Terms.

Definitions

  • “Products” means the goods available for purchase on the Website.

  • “Order” means your request to purchase Products via the Website.

  • “Services” means any services provided by us in connection with the Website or delivery of Products.

Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) and capable of entering into binding contracts in order to place an Order. If you are placing an Order on behalf of a company or other legal entity, you represent that you have authority to bind that entity.

Products, Orders & Acceptance

  • All Orders placed through the Website are subject to acceptance by us. We reserve the right to refuse or cancel any Order for any reason (including limitations on quantities available, errors in pricing/descriptions, or inability to obtain authorisation).

  • Pricing and availability of Products are subject to change without notice. While we endeavour to ensure accuracy, we do not guarantee that product descriptions, colors, dimensions or other details are error-free.

  • Once you place an Order, you will receive an order acknowledgement email. This does not mean your Order has been accepted. Your Order is only accepted when you receive a shipping confirmation or other notification from us that the Order has been accepted.

Payment & Pricing

  • All prices are stated in South African Rands (ZAR), unless otherwise specified.

  • Taxes (including VAT) are included where required by law unless otherwise indicated.

  • We accept payment methods indicated on the Website. You agree to provide accurate and complete payment information.

  • We may cancel or suspend an Order if we believe there is a problem with the payment or reasonable suspicion of fraud.

Delivery & Shipping

  • We will endeavour to deliver Products within the estimated timescales indicated on the Website, but delivery times are estimates only and we do not guarantee delivery by a certain date.

  • Title and risk in the Products passes to you upon delivery (or when the Product is handed over to the carrier).

  • In the case of damage, loss or delay in transit you must report this to us as soon as reasonably possible.

Returns, Refunds & Cancellations

  • Your rights to return Products and receive refunds or exchanges (if any) will be as set out in our separate Returns Policy which forms part of these Terms.

  • If you cancel an Order before dispatch, we will refund any payment you have made, less any costs reasonably incurred by us (as permitted by law).

  • If you cancel a Product after dispatch, you may be responsible for return shipping costs and any diminution in value.

Consumer Protection & Statutory Rights

  • Customers who are consumers as defined in the Consumer Protection Act 68 of 2008 have certain rights under the law which cannot be excluded, limited or modified by contract. These Terms apply only to the extent permitted by applicable law.

  • Nothing in these Terms affects your statutory rights.

Intellectual Property

  • All content on the Website (including text, graphics, logos, images, videos, software) is our property (or our licensors’) and is protected by copyright, trademark and other intellectual property laws.

  • You may use the Website for your personal, non-commercial use only. You may not reproduce, modify, publish, distribute, transmit or otherwise exploit any part of the Website without our prior written consent.

Prohibited Uses
You agree not to use the Website or Products for any unlawful purpose, or to:

  • impersonate any person or entity or falsely state or misrepresent your affiliation with a person or entity;

  • interfere with or disrupt the Website or servers or networks connected to it;

  • violate any laws in your jurisdiction (including but not limited to copyright laws);

  • attempt to gain unauthorised access to our systems.

Limitation of Liability & Disclaimer

  • To the maximum extent permitted by law, we exclude all warranties (express or implied) regarding the Website and Products, including but not limited to implied warranties of merchantability and fitness for a particular purpose.

  • We will not be liable to you for any indirect, special, incidental, punitive or consequential loss or damage of any kind however arising (including loss of profits, business interruption or loss of data).

  • Our total aggregate liability for direct damages arising from or related to your use of the Website or purchase of Products is limited to the amount you paid for the Product that gave rise to the claim (or such lesser amount as imposed by applicable law).

Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa. You agree that the competent courts of South Africa shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with these Terms.

Force Majeure
We will not be liable for any failure or delay in performing our obligations under these Terms if such failure or delay is due to any cause beyond our reasonable control (including but not limited to natural disasters, fire, flood, strikes, war, pandemics, Internet outages).

Severability
If any provision of these Terms is held to be invalid, illegal or unenforceable in any respect by a court of competent jurisdiction, the remainder of these Terms will continue in full force and effect.

Entire Agreement
These Terms (together with our Privacy Policy, Returns Policy and any other documents expressly incorporated by reference) constitute the entire agreement between you and us with respect to your use of the Website and your purchase of Products, and supersede all prior agreements or understandings (verbal or written).
